Draft Standard terms pending review by counsel in India and the US before launch.

The short version

Plain language · not legally binding
  1. Introduce a data owner who goes on to license data through Quarry, and you earn a share of Quarry's fee on their first licence.
  2. The percentage and cap are stated in your referral confirmation.
  3. The first valid introduction wins, and the owner must not already be in our pipeline.
  4. We pay after the owner's first licence has been paid for.
  5. You're responsible for your own taxes.

The numbered sections below are the terms that apply.

1. Eligibility

Anyone aged 18 or over may refer a data owner, except Quarry's employees and contractors, and anyone whose payment would breach the law or their employer's policies. Employees of the owner being introduced may take part only with that owner's written consent. Public officials may not receive referral fees for introducing public bodies.

2. How to refer

Submit a referral through the referral page with your details, the owner company, a contact person, what data they hold, and optionally the request ID from the demand board. You confirm you have a genuine connection to the owner and that sharing the contact details is lawful.

We will tell you within 10 business days whether the referral is valid, and send a referral confirmation stating the fee percentage and cap.

3. Valid introductions

A referral is valid if the owner was not already in Quarry's pipeline (in contact with us about licensing in the previous 12 months) when we received it, and you are the first to refer that owner. If two referrals for the same owner arrive, the earlier one received wins. Validity lasts 12 months: the owner must sign Supplier Terms within 12 months of the referral.

4. Fee basis and cap

For a valid referral, Quarry pays you the percentage of Quarry's net fee on the first licence of the owner's data, up to the cap, stated in your referral confirmation. Quarry's net fee means the fee Quarry receives from the buyer for that licence, less the owner's revenue share, taxes and refunds.

5. Payout timing

We pay within 30 days after the buyer's payment for that first licence is received in full. If the fee is later refunded, we may deduct the referral fee paid on it from future payments.

6. Exclusions

No fee is payable for self-referrals, referrals of owners already in our pipeline, referrals obtained by misrepresentation, or where payment would breach anti-bribery law or the owner's policies. We may withhold payment while we investigate suspected abuse.

7. Tax

You are responsible for taxes on referral fees. Quarry will deduct tax at source where the law requires (for example, TDS in India) and provide certificates. We may ask for tax details, such as a PAN, before paying.

8. Changes and ending the programme

We may change or end the programme with 30 days' notice on this page. Valid referrals made before a change keep the terms in their referral confirmation. These terms are governed by the laws of India, with the courts at Bengaluru, Karnataka having exclusive jurisdiction.
